1. Overview

These Referral Program Terms (the “Terms”) govern the Palpaca Referral Program (the “Program”), operated by Sagewill S.r.l., trading as Palpaca, with registered office at Via Panciatichi 16, 50141 Florence (FI), Italy, VAT No. IT07481150485.

The Program allows eligible Palpaca customers to invite new users to the platform. Both the referring customer and the referred user receive credit rewards when the referral is successfully completed. These Terms form part of the Palpaca Terms of Service and should be read together with the Palpaca Refund and Cancellation Policy.

By participating in the Program, you agree to be bound by these Terms. Palpaca reserves the right to disqualify any participant who violates these Terms or engages in conduct that undermines the integrity of the Program.

2. Definitions

“Referrer” means a Palpaca customer with an active paid subscription who shares their unique referral link to invite a new user to the platform.

“Referee” means a new user who creates a Palpaca account and successfully installs the Palpaca application using a Referrer’s unique referral link.

“Referral Link” means the unique URL assigned to each eligible Referrer within their Palpaca account dashboard, used to track and attribute referrals.

“Referral Credits” means the credits awarded to both the Referrer and the Referee upon successful completion of a referral, as described in Section 5.

“Successful Referral” means a referral that meets all eligibility criteria set out in Section 4 and results in the Referee’s successful installation of the Palpaca application.

“HubSpot Portal” means the HubSpot account environment associated with a user’s organisation, identified by a unique portal ID.

3. Referrer Eligibility

To participate in the Program as a Referrer, you must meet all of the following requirements:

(a) Active paid subscription. You must hold an active Monthly or Pay Upfront subscription at the time the referral is completed. Customers on free signup credits only (i.e., who have never subscribed to a paid plan) are not eligible to refer others.

(b) Account in good standing. Your account must not be suspended, restricted, or under investigation for violation of the Palpaca Terms of Service or these Terms.

(c) Unique referral link. Referrals must be made exclusively through your unique referral link, accessible from your account dashboard at palpaca.dev. Referrals made through any other mechanism (e.g., manual account creation not attributed to a referral link) will not be credited.

4. Referee and Portal Eligibility

A referral is only eligible for credit rewards when the Referee and their associated HubSpot Portal meet all of the following criteria at the time of installation:

4.1 New Account Requirement

The Referee must be a new Palpaca user. Specifically, the HubSpot Portal associated with the Referee’s account must not have been previously registered on the Palpaca platform. If a HubSpot Portal is already associated with an existing or former Palpaca account, the referral is ineligible regardless of whether the Referee is a different individual within that organisation.

4.2 HubSpot Authentication

The Referee must create their Palpaca account by authenticating through HubSpot OAuth. Email-only registrations or accounts created through any method other than HubSpot OAuth do not qualify.

4.3 Minimum Portal Activity

To ensure referrals involve genuine business accounts and to prevent abuse, the Referee’s HubSpot Portal must meet both of the following thresholds:

(a) Contact threshold: The portal must contain at least one hundred (100) contacts at the time of Palpaca application installation.

(b) Portal age: The portal must have been created at least sixty (60) days prior to the date of Palpaca application installation.

4.4 Application Installation

The Referee must successfully install the Palpaca application in their HubSpot Portal. Account creation alone does not constitute a Successful Referral; the application must be installed and connected to the Referee’s HubSpot environment.

5. Referral Rewards

5.1 Credit Allocation

Upon completion of a Successful Referral, the following credits are awarded:

  • Referrer: Ten (10) referral credits.

  • Referee: Ten (10) referral credits, in addition to the five (5) free signup credits received upon account creation.

Credits are allocated automatically and will appear in the respective user’s account within a reasonable time following verification that all eligibility criteria have been met.

5.2 Credit Properties

Referral credits are subject to the following terms:

  • No expiry. Referral credits never expire, regardless of subscription status.

  • Consumption priority. Referral credits (together with free signup credits) are consumed before all other credit types, as described in the Palpaca Refund and Cancellation Policy, Section 2.2.

  • No monetary value. Referral credits cannot be exchanged, transferred, sold, or redeemed for cash or any other form of payment.

  • Non-refundable. Referral credits are non-refundable under any circumstances. Referral credits are not clawed back in the event that a refund is issued on a paid subscription.

  • Non-transferable. Referral credits are tied to the account to which they were awarded and cannot be transferred to another account.

5.3 No Referral Cap

There is no limit on the number of Successful Referrals a Referrer may make, provided that each referral independently meets all eligibility criteria set out in Section 4. The natural constraint is that each HubSpot Portal may only be referred once; a portal that is already registered on Palpaca cannot generate a new referral.

Each eligible Referrer is assigned a unique referral link, accessible from their Palpaca account dashboard. The referral link is tied to the Referrer’s account and must not be altered, modified, or appended with additional tracking parameters.

6.2 Permitted Distribution

You may share your referral link through any lawful channel, including but not limited to direct messages, email, social media, blog posts, and community forums, subject to the restrictions in Section 6.3.

6.3 Prohibited Distribution

The following distribution methods are prohibited:

  • Spam. Sending unsolicited bulk messages (email, SMS, social media, or any other medium) containing your referral link. This includes purchasing email lists, using automated messaging tools for mass distribution, or posting referral links in contexts where they are unwelcome or off-topic.

  • Misleading representations. Misrepresenting the Palpaca platform, its features, its pricing, or the nature of the referral reward in order to induce sign-ups. Your referral communications must be truthful and consistent with the information available on palpaca.dev.

  • Paid advertising without disclosure. Using paid advertising channels (search ads, social media ads, display ads) to promote your referral link without clearly disclosing that (a) you are a Palpaca user sharing a referral link, and (b) you will receive a reward if the recipient signs up. Advertising disclosures must comply with applicable laws and regulations, including FTC guidelines and equivalent local requirements.

  • Impersonation. Representing yourself as an employee, agent, or official representative of Palpaca, or using Palpaca’s trademarks, logos, or branding in a manner that suggests official endorsement or affiliation beyond your status as a customer.

  • Search engine manipulation. Bidding on Palpaca’s brand terms (including “Palpaca”, “palpaca.dev”, and variations) in search engine advertising, or employing SEO techniques designed to redirect organic traffic intended for Palpaca’s official website to your referral link.

  • Coupon and deal sites. Posting your referral link on coupon aggregation sites, deal forums, or cashback platforms.

7. Fraud Prevention and Prohibited Conduct

7.1 Prohibited Conduct

The following activities are strictly prohibited and constitute a violation of these Terms:

  • Self-referral. Referring yourself, whether by creating multiple Palpaca accounts, using multiple HubSpot Portals under your control, or any other method designed to generate referral credits for your own benefit.

  • Fake or fraudulent accounts. Encouraging, facilitating, or colluding with others to create Palpaca accounts or HubSpot Portals for the sole or primary purpose of generating referral credits, with no genuine intent to use the Palpaca platform.

  • Portal manipulation. Artificially inflating contact counts in a HubSpot Portal (e.g., by importing fake or purchased contact lists) to meet the one hundred (100) contact eligibility threshold.

  • Credit farming. Any scheme, arrangement, or pattern of conduct designed to systematically accumulate referral credits through means that circumvent the spirit of the Program, even if individual referrals technically meet the eligibility criteria.

  • Collusion. Coordinating with other users to exchange referrals, create referral chains, or otherwise artificially generate credits.

  • Automation. Using bots, scripts, or automated tools to generate referrals, create accounts, or distribute referral links in bulk.

7.2 Detection and Verification

Palpaca employs automated and manual verification measures to detect fraudulent or abusive referral activity. These measures include, but are not limited to, analysis of referral patterns, HubSpot Portal characteristics, IP addresses, account creation timing, and usage behaviour. Palpaca is not required to disclose its specific detection methods.

7.3 Consequences of Violation

If Palpaca determines, in its sole discretion, that a participant has violated these Terms or engaged in fraudulent or abusive conduct, Palpaca may take one or more of the following actions without prior notice:

  • Withhold pending referral credits that have not yet been allocated;

  • Revoke referral credits previously awarded, including credits that have already been added to the participant’s account;

  • Suspend or permanently disqualify the participant from the Program;

  • Suspend or terminate the participant’s Palpaca account in accordance with the Palpaca Terms of Service;

  • Pursue any other remedies available under applicable law.

Palpaca’s determination of fraud or abuse is final. Palpaca is not obligated to provide evidence or a detailed explanation of its findings, though it may do so at its discretion.

Your referral link will be automatically deactivated if:

  • Your paid subscription expires or is cancelled and you do not hold any active Monthly or Pay Upfront plan;

  • Your account is suspended or terminated;

  • You are disqualified from the Program under Section 7.3.

If your referral link is deactivated due to subscription cancellation, it will be reactivated automatically upon resubscription to any paid plan. Referrals initiated through a deactivated link will not be tracked or credited.

9. Relationship Between Parties

Participation in the Program does not create an employment, agency, partnership, joint venture, or franchise relationship between the Referrer and Palpaca. Referrers are independent users of the platform and are not authorised to make any representations, warranties, or commitments on behalf of Palpaca.

Referrers are solely responsible for any tax obligations arising from the receipt of referral credits. Palpaca does not provide tax advice and is not responsible for determining whether referral credits constitute taxable income or benefits in the Referrer’s jurisdiction. Referrers should consult their own tax advisor.

10. Privacy

Palpaca processes personal data related to the Program (including referral link usage, Referrer and Referee account information, and HubSpot Portal metadata used for eligibility verification) in accordance with the Palpaca Privacy Policy and the Palpaca Data Processing Agreement.

Referrers do not receive access to the Referee’s personal data, HubSpot Portal details, or account information. The only information visible to the Referrer is the number of successful referrals completed and the total referral credits earned, accessible via their account dashboard.

11. Program Modifications and Termination

11.1 Modifications

Palpaca reserves the right to modify, suspend, or discontinue any aspect of the Program at any time, including but not limited to the credit reward amount, eligibility criteria, referral mechanics, and prohibited conduct rules. Changes will be communicated via the email address associated with your account at least fifteen (15) days before they take effect.

Modifications will not apply retroactively to referral credits that have already been awarded prior to the effective date of the change. Pending referrals (i.e., referrals initiated but not yet completed at the time of the change) will be subject to the terms in effect at the time the referral is completed.

11.2 Termination

Palpaca may terminate the Program entirely at any time by providing thirty (30) days’ prior notice to all active Referrers. Upon termination:

  • All referral links will be deactivated on the termination date;

  • Referral credits already awarded will remain in participants’ accounts and will continue to be governed by the credit terms in the Palpaca Refund and Cancellation Policy;

  • Pending referrals that have not been completed by the termination date will not be credited.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Palpaca’s total liability arising out of or in connection with the Program, whether in contract, tort, or otherwise, shall not exceed the value of the referral credits in dispute. Given that referral credits have no monetary value and cannot be redeemed for cash, the Parties acknowledge that Palpaca’s liability under the Program is limited accordingly.

Palpaca shall not be liable for any indirect, incidental, consequential, or punitive damages arising from participation in the Program, including but not limited to lost profits, lost business opportunities, or reputational harm.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with Italian law. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Florence, Italy.

14. Modifications to These Terms

Palpaca reserves the right to update these Terms at any time. Changes will be communicated via the email address associated with your account at least fifteen (15) days before they take effect. Continued participation in the Program after the effective date of any changes constitutes acceptance of the updated Terms.
