Palpaca Platform

1. Introduction and Acceptance
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and Sagewill S.r.l., trading as Palpaca, with registered office at Via Panciatichi 16, 50141 Florence (FI), Italy, VAT No. IT07481150485 (“Palpaca”, “we”, “us”, or “our”), governing your access to and use of the Palpaca platform.
Palpaca is an AI-powered platform that enables users to create custom HubSpot UI Extensions and backend server functions through natural language descriptions. The platform is accessible via the application at app.palpaca.dev (the “Application”) and the marketing website at palpaca.dev (the “Website”), collectively referred to as the “Service”.
By creating an account, accessing the Application, or using any part of the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.
Palpaca is a business-to-business (B2B) platform. By using the Service, you confirm that you are acting in a professional or business capacity and not as an individual consumer.

In the event of a conflict between these Terms and any of the documents listed above, these Terms shall prevail unless the conflicting document expressly states otherwise with respect to a specific subject matter.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must:
(a) be at least 18 years of age or the age of legal majority in your jurisdiction;
(b) be acting in a professional or business capacity (Palpaca is not available to individual consumers);
(c) have the legal authority to enter into a binding agreement;
(d) hold or have access to a valid HubSpot account.
2.2 Account Creation
Account creation requires authentication through HubSpot OAuth. By creating an account, you authorise Palpaca to access your HubSpot Portal to the extent necessary to provide the Service, including reading CRM schema metadata (object definitions, property names, property types, and association labels) for the purpose of code generation.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@palpaca.dev if you become aware of any unauthorised use of your account.
2.3 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that contain materially inaccurate or misleading information.
3. Description of the Service
3.1 What Palpaca Does
Palpaca enables you to create custom HubSpot UI Extensions and backend server functions by describing what you want in natural language. The platform uses AI-powered code generation (via the Anthropic API) to produce functional code based on your descriptions and your HubSpot CRM schema.
The Service generates two types of code:

Frontend code (UI Extensions): User-facing interface components that are deployed directly to your HubSpot account. You own this code and it remains functional regardless of your subscription status.

Backend server functions: Serverless functions, API endpoints, and scheduled operations that run on Palpaca’s infrastructure. These functions require an active Palpaca subscription to operate.
3.2 HubSpot CRM Data Access
To generate contextually accurate code, the Service reads your HubSpot CRM schema metadata during generation sessions. This includes object names, property names, property types, and association labels. This metadata is transmitted to the Anthropic API for code generation and is not retained by Palpaca after the session concludes.
The Service does not access, read, transmit, or store actual CRM record values (e.g., contact names, email addresses, deal amounts, phone numbers). Only schema metadata — the structure and field definitions of your CRM — is used.
3.3 HubSpot Dependency
The Service is designed to work with HubSpot and depends on HubSpot’s APIs, platform capabilities, and developer ecosystem. Palpaca is not affiliated with, endorsed by, or sponsored by HubSpot, Inc. Changes to HubSpot’s APIs, terms of service, pricing, or platform capabilities may affect the functionality of the Service and the code it generates. Palpaca is not responsible for such changes but will use commercially reasonable efforts to adapt the Service accordingly.
4. Subscription Plans, Credits, and Billing
4.1 Free Signup Credits
Upon creating an account, you receive five (5) free credits. No payment information is required. Free signup credits never expire and are consumed before all other credit types.
4.2 Monthly Plans
Monthly plans are billed on a recurring monthly cycle and include a fixed credit allowance per billing period. Credits unused at the end of a billing cycle roll over to the following month and expire at the end of that month. You may hold up to two months’ worth of credits at any time. Full details of plan tiers, pricing, and credit mechanics are set out in the Refund and Cancellation Policy.
4.3 Pay Upfront (Yearly) Plans
Pay Upfront plans are billed as a single annual payment at a 10% discount. All credits are allocated immediately upon payment and expire twenty-four (24) months from the date of purchase. Pay Upfront plans are non-refundable.
4.4 Credit Consumption
Credits are consumed when the platform performs AI-powered code generation. The number of credits consumed per generation depends on the complexity of the request and the resources used. Credits are consumed in the following order: (1) free signup and referral credits first; (2) monthly credits (oldest first); (3) Pay Upfront credits (oldest first).
Credits have no monetary value outside the Palpaca platform and cannot be exchanged, transferred, or redeemed for cash.
4.5 Billing
All prices are in United States Dollars (USD). Payments are processed by Stripe, Inc. You authorise Palpaca to charge the payment method on file for all applicable fees. You are responsible for any applicable taxes, duties, or levies imposed by your jurisdiction. Palpaca will add VAT or other applicable taxes where legally required.
4.6 Plan Changes
Upgrades to a higher-tier monthly plan or from monthly to Pay Upfront take effect immediately. You will be charged the full price of the new plan, receive the full credit allocation, and your billing cycle will reset. No refund is issued for the unused portion of the previous cycle. Downgrades take effect at the start of the next billing cycle. Full details are set out in the Refund and Cancellation Policy.
4.7 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle (for monthly plans) or subscription period (for Pay Upfront plans). Upon cancellation, frontend code remains deployed in your HubSpot account, but backend server functions will cease to operate. You must maintain an active subscription to enable the continued use of backend functions. Full cancellation terms are set out in the Refund and Cancellation Policy.
5. Intellectual Property
5.1 Ownership of Generated Code
You own 100% of the code generated by Palpaca for you. All frontend code (UI Extensions) and backend server functions generated through the Service are your sole property. Palpaca does not retain any ownership rights, licenses, or claims to your generated code. You are free to use, modify, distribute, sublicense, or commercialise your generated code without restriction.
Palpaca retains no copies of your generated code after it has been delivered to you, except as necessary for the continued operation of backend server functions during your active subscription and for backup and disaster recovery purposes.
5.2 Palpaca Platform IP
The Service itself — including the Palpaca platform, its underlying technology, user interface, algorithms, code generation engine, branding, trademarks, documentation, and all related intellectual property — is and remains the exclusive property of Sagewill S.r.l. Nothing in these Terms grants you any rights to Palpaca’s platform IP beyond the limited right to use the Service in accordance with these Terms.
5.3 Your Input
You retain ownership of all content you provide to the Service, including natural language descriptions, project names, and configurations. By using the Service, you grant Palpaca a limited, non-exclusive, worldwide license to process your input solely for the purpose of providing the Service to you. This license terminates upon deletion of the relevant data or termination of your account.
5.4 Feedback
If you provide suggestions, ideas, enhancement requests, or other feedback regarding the Service (“Feedback”), you grant Palpaca a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Service without obligation to you. Feedback does not include your generated code or project data.
5.5 No Guarantee of Uniqueness
Code generated by the Service is produced by AI models and may be similar or identical to code generated for other users who provide similar descriptions or have similar CRM schemas. Palpaca does not guarantee that generated code will be unique to you.
6. Acceptable Use
6.1 General Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for ensuring that your use of the Service and the code generated through it complies with all applicable laws and regulations, and with HubSpot’s own terms of service and developer policies.
6.2 Prohibited Uses
You may not use the Service to:
(a) violate any applicable law, regulation, or third-party right;
(b) generate code designed to collect, store, or process personal data in a manner that violates the GDPR, UK GDPR, or any other applicable data protection law;
(c) generate code that intentionally introduces malware, vulnerabilities, backdoors, or other security threats into your HubSpot environment or any third-party system;
(d) attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Palpaca platform;
(e) circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Service;
(f) use automated tools, bots, or scripts to access the Service or generate code in bulk, except through the Service’s intended interface and API;
(g) resell, redistribute, or sublicense access to the Service itself (this does not restrict your right to use or distribute your generated code);
(h) use the Service to build a product or service that competes directly with Palpaca by offering AI-powered code generation for HubSpot UI Extensions;
(i) misrepresent your identity, impersonate any person or entity, or falsely claim an affiliation with any person or entity;
(j) interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
6.3 Enforcement
We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating your account, removing content, and reporting illegal activity to law enforcement authorities. We may take such action without prior notice where we reasonably believe that immediate action is necessary to protect the Service, our users, or third parties.
7. AI-Generated Code — Disclaimer and Responsibilities
7.1 Nature of AI-Generated Code
Code generated by the Service is produced by artificial intelligence models. While we strive to generate high-quality, functional code that works within the HubSpot platform, AI-generated code is inherently probabilistic and may contain errors, inefficiencies, security vulnerabilities, or unexpected behaviour.
7.2 Best-Effort Quality
Palpaca provides code generation on a best-effort basis. We invest significant effort in prompt engineering, model selection, and output validation to produce the best results possible. However, we do not warrant or guarantee that generated code will:
-
be free of bugs, errors, or security vulnerabilities;
-
function correctly in all HubSpot environments, portal configurations, or use cases;
-
be compatible with future versions of HubSpot’s APIs or platform;
-
meet your specific requirements or expectations;
-
comply with any particular coding standards, best practices, or regulatory requirements.
7.3 Your Responsibility
You are solely responsible for reviewing, testing, and validating all code generated by the Service before deploying it to a production environment. This includes:
-
reviewing generated code for correctness, security, and compliance with your requirements;
-
testing generated code in a development or staging environment before production deployment;
-
ensuring generated code complies with applicable laws, regulations, and your organisation’s policies;
-
maintaining and updating generated code after deployment, including responding to changes in HubSpot’s platform;
-
backing up your data and code before deploying any generated code to your HubSpot environment.
7.4 No Professional Advice
The Service does not provide legal, financial, security, or compliance advice. Code generated by the Service should not be treated as having been reviewed or approved by a professional developer, security auditor, or legal counsel.
8. Service Availability
8.1 Availability Target
Palpaca targets 99% uptime for the Application, measured on a monthly basis, excluding scheduled maintenance. This is an informal target and not a binding service level agreement. We will use commercially reasonable efforts to meet this target but do not guarantee uninterrupted or error-free operation of the Service.
8.2 Scheduled Maintenance
We may perform scheduled maintenance that temporarily affects the availability of the Service. Where practicable, we will provide at least 24 hours’ advance notice of scheduled maintenance via the Application or by email.
8.3 Service Interruptions
The Service may be temporarily unavailable due to factors beyond our reasonable control, including but not limited to:
-
failures or interruptions in Cloudflare’s infrastructure;
-
failures or interruptions in HubSpot’s APIs or platform;
-
failures or interruptions in the Anthropic API;
-
internet connectivity issues;
-
force majeure events (natural disasters, wars, pandemics, government actions);
-
cyberattacks, DDoS attacks, or other malicious activity targeting the Service or its infrastructure.
8.4 Downtime Credits
If the Service experiences material downtime exceeding twenty-four (24) consecutive hours or seventy-two (72) cumulative hours in a single billing cycle, you may request a pro-rata account credit in accordance with the Refund and Cancellation Policy. This is the sole and exclusive remedy for service unavailability.
9. Data Protection and Privacy
Our collection, use, and protection of personal data is governed by our Privacy Policy and Data Processing Agreement. By using the Service, you acknowledge and agree to the data processing practices described in those documents.
9.1 Your Role as Data Controller
Where you use the Service to process personal data of your own end users, contacts, or other data subjects (for example, by building UI Extensions that display or interact with CRM data), you act as the data controller for that data. Palpaca acts as data processor to the extent it processes such data on your behalf, as described in the Data Processing Agreement.
9.2 Data Security
We implement appropriate technical and organisational measures to protect the data processed through the Service, as described in the Privacy Policy and Annex III of the Data Processing Agreement.
9.3 Data Breach Notification
In the event of a personal data breach affecting data processed on your behalf, we will notify you without undue delay and in any event within forty-eight (48) hours, in accordance with Clause 8.2 of the Data Processing Agreement.
10. Warranties and Disclaimers
10.1 Our Warranties
Palpaca warrants that:
(a) the Service will be provided with reasonable care and skill;
(b) the Service will materially conform to the description provided on the Website and in these Terms;
(c) we will use commercially reasonable efforts to maintain the security and availability of the Service;
(d) we will process your personal data in accordance with our Privacy Policy and applicable data protection laws.
10.2 Disclaimer
EXCEPT AS EXPRESSLY SET OUT IN SECTION 10.1, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALPACA DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Palpaca does not warrant that:
-
the Service will meet your specific requirements or expectations;
-
the Service will be uninterrupted, timely, secure, or error-free;
-
generated code will be free of defects, vulnerabilities, or errors;
-
generated code will be compatible with all HubSpot environments, now or in the future;
-
results obtained through the Service will be accurate or reliable.
10.3 HubSpot Disclaimer
Palpaca is an independent third-party tool and is not affiliated with, endorsed by, or sponsored by HubSpot, Inc. HubSpot’s trademarks and service marks are the property of HubSpot, Inc. Any references to HubSpot in these Terms or the Service are for descriptive purposes only.
11. Limitation of Liability
11.1 Exclusion of Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PALPACA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PALPACA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALPACA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO PALPACA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
11.3 Exceptions
Nothing in these Terms shall exclude or limit liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) any liability that cannot be excluded or limited by applicable law, including mandatory consumer protection laws (to the extent applicable) and data protection obligations under the GDPR.
11.4 Specific Exclusions
Without limiting the generality of the foregoing, Palpaca shall not be liable for:

any damages arising from errors, bugs, or vulnerabilities in generated code that you have deployed without adequate review and testing;
-
any damages arising from changes to HubSpot’s APIs, platform, terms of service, or pricing;
-
any damages arising from the failure of backend server functions following cancellation or expiry of your subscription;
-
any damages arising from your failure to maintain adequate backups of your data and code;
-
any loss of data resulting from the deletion of your account data after the retention period specified in the Refund and Cancellation Policy.
11.5 Allocation of Risk
You acknowledge that the limitations and exclusions set out in this Section 11 reflect a reasonable allocation of risk between the Parties and form an essential basis of the bargain between you and Palpaca. The Service would not be provided at the prices set out in the Refund and Cancellation Policy without these limitations.
12. Indemnification
You agree to indemnify, defend, and hold harmless Palpaca, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your use of the Service in violation of these Terms;
(b) your deployment of generated code that causes harm to third parties, infringes third-party rights, or violates applicable laws;
(c) your breach of any representation or warranty made in these Terms;
(d) your violation of any applicable law, regulation, or third-party right;
(e) any dispute between you and your own end users, customers, or partners arising from your use of the Service or the code it generates.
Palpaca will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation in the defence of such claim at your expense.
13. Term and Termination
13.1 Term
These Terms are effective from the date you first access the Service and remain in effect until terminated by either Party in accordance with this Section.
13.2 Termination by You
You may terminate these Terms at any time by cancelling your subscription and deleting your account. Cancellation of your subscription is governed by the Refund and Cancellation Policy.
13.3 Termination by Palpaca
We may terminate or suspend your access to the Service, in whole or in part, immediately and without prior notice if:
(a) you breach any material provision of these Terms and fail to cure such breach within fourteen (14) days of receiving written notice;
(b) you engage in prohibited conduct under Section 6.2 that poses an immediate threat to the Service, our users, or third parties;
(c) your account is involved in fraudulent or abusive activity;
(d) we are required to do so by law, regulation, or a binding order of a competent authority;
(e) we discontinue the Service entirely (subject to Section 13.5).
13.4 Effect of Termination
Upon termination of these Terms:
-
your right to access and use the Application will cease immediately;
-
frontend code previously deployed to your HubSpot account will remain in place and continue to function;
-
backend server functions will be deactivated;
-
unused credits will be forfeited (except where termination is due to a material breach by Palpaca, in which case a pro-rata refund may be issued at our discretion);
-
your account data will be retained for twelve (12) months to facilitate reactivation, after which it will be deleted in accordance with the Privacy Policy;
-
the following Sections shall survive termination: 5 (Intellectual Property), 7 (AI-Generated Code Disclaimer), 10 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law), and any other provisions that by their nature should survive.
13.5 Discontinuation of Service
If we decide to discontinue the Service entirely, we will provide at least sixty (60) days’ prior written notice. During this notice period, you will be able to export your project data and generated code. We will issue a pro-rata refund for any prepaid subscription fees covering the period after the discontinuation date.
14. Modifications to These Terms
We may modify these Terms from time to time. When we do, we will:

update the “Last Updated” date at the top of these Terms;
-
notify you via the email address associated with your account at least fifteen (15) days before the changes take effect;
-
for material changes, provide a summary of what has changed.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the effective date.

15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Italy, without regard to its conflict of law principles.
15.2 Jurisdiction
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Florence, Italy.
15.3 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact us at support@palpaca.dev and attempt to resolve the dispute informally for a period of at least thirty (30) days.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the documents incorporated by reference in Section 1, constitute the entire agreement between you and Palpaca regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16.3 Waiver
The failure of Palpaca to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall only be effective if in writing and signed by Palpaca.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Palpaca. Palpaca may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all of its assets, provided the assignee agrees to be bound by these Terms.
16.5 Force Majeure
Neither Party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond the affected Party’s reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, government actions, failures of third-party infrastructure providers, internet outages, and cyberattacks.
16.6 Notices
All notices under these Terms shall be sent by email: to Palpaca at support@palpaca.dev, and to you at the email address associated with your account. Notices are deemed received on the business day following transmission.
16.7 No Third-Party Beneficiaries
These Terms do not create any rights for any third party, and no third party may enforce any provision of these Terms.
16.8 Language
These Terms are drafted in English. In the event of any conflict between the English version and a translation, the English version shall prevail.
